For additional, non-legal clarifications about this content, reach out to your Adyen contact.<\/p>\n<\/div>\n<p>Platforms must provide a user interface that includes the following:<\/p>\n<ul>\n<li><strong>Product request:<\/strong> Let the user request any of the financial services that the platform has agreed with Adyen to provide.<\/li>\n<li><strong>KYC:<\/strong> Provide required KYC information to Adyen as required under Adyen\u2019s customer due diligence procedures.<\/li>\n<li><strong>Agreements and Terms:<\/strong> Present all required agreements and user terms including bank disclosures and fees, as detailed in <a href=\"#customer-disclosure-and-consent-procedure\">Adyen\u2019s Customer Disclosure and Consent Procedure<\/a>.<\/li>\n<\/ul>\n<div class=\"notices green\">\n<p>If the platform is using <a href=\"\/platforms\/onboard-users#hosted-onboarding\">hosted onboarding<\/a>, KYC fields, agreements, and terms of service will be hosted by Adyen. If the platform is using Adyen\u2019s components in the UI, certain requirements may be embedded into the components provided by Adyen.  To learn more about the embedded requirements, see <a href=\"\/capital\/capital-components\">Capital components<\/a>.<\/p>\n<\/div>\n<ul>\n<li>\n<p><strong>User consent:<\/strong> Ensure that the user reads and accepts the required legal agreements, using language detailed in <a href=\"#customer-disclosure-and-consent-procedure\">Adyen\u2019s Customer Disclosure and Consent Procedure<\/a>:<\/p>\n<p><em>\u201cI have read and I accept these terms and confirm that I am a legal representative authorized to accept these terms on behalf of the company. I have taken notice of the privacy statement (www.adyen.com\/privacy-policy) and I consent to my (personal) data being used for the purposes described therein.\"<\/em><\/p>\n<\/li>\n<li>\n<p><strong>Terms and Conditions availability:<\/strong> Provide ongoing access to all the agreements that have been accepted by the user.<\/p>\n<\/li>\n<li>\n<p><strong>Account access:<\/strong> Provide the user, free of charge, with ongoing access to their Balance or Bank Account, Capital, or Issuing product to view transactions, fees and other account information, as provided by Adyen to the platform through API as detailed below.<\/p>\n<\/li>\n<li>\n<p><strong>Preselected options:<\/strong> The user interface must not include pre-selected options to indicate that the user has confirmed that they have read or understood the provided information concerning financial services.<\/p>\n<\/li>\n<li>\n<p><strong>Financial service provider:<\/strong> The user interface may not present the platform as a bank and should include a disclosure indicating Adyen as the financial services provider.<\/p>\n<ul>\n<li>(Ireland Only): For all products, the following wording in the interface must be used:<\/li>\n<\/ul>\n<p><em>\u201cWe work with Adyen N.V. to offer financial services. Note, this notice must be displayed in bold, in a text box and in font size at least equal to that used for other information.)<\/li><\/ul><\/li><li markdown=\"1\">(Ireland only): The following information must be shown to the user in the Capital user interface before the user becomes bound by the Capital contract:<ul><li markdown=\"1\">Capital Balance (the total amount lent)<\/li><li markdown=\"1\">The length of time for which the loan offer is valid.<\/li><\/ul><\/li><li markdown=\"1\">(Ireland only): Before the user is bound by the Capital contract, the Capital interface must prompt the user to provide their consent with a tick box to the following statement:<\/br>\"<em>I understand the features of Capital and I wish to proceed.<\/em>\"<\/li><\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<h3>Presenting financing offers<\/h3>\n<p>When presenting a financing offer to your users, include the following information:<\/p>\n<ul>\n<li><strong>Capital type<\/strong>: Clearly show the type of Capital offering, such as business loan to eligible users.<\/li>\n<li><strong>Capital proposal<\/strong>: Clearly show the Capital proposal, including all the fields that Adyen provides to you through our GET  <a href=\"https:\/\/docs.adyen.com\/api-explorer\/balanceplatform\/latest\/get\/grantOffers\" class=\"codeLabel  external-link no-image\" target=\"_blank\" rel=\"nofollow noopener noreferrer\">\/grantOffers<\/a> endpoint.<\/li>\n<li><strong>Repayment period<\/strong>: Specify that\n<ul>\n<li>For a business loan, the repayment period has a <strong>maximum term<\/strong>. This means that the repayment period is fixed and the business loan must be completely repaid before the period ends.\n<!-- * For a cash advance, the repayment period has an **expected term**. This means that the repayment period for a cash advance is flexible. --><\/li>\n<\/ul><\/li>\n<li><strong>How to request a financing offer<\/strong>: Enable users to request Capital on your interface. Clearly show that they must request the product before receiving any Capital proposal.<\/li>\n<\/ul>\n<p>The following image shows an example of how to present your Capital offers to your users.<\/p>\n<p><img alt=\"\" src=\"\/user\/pages\/reuse\/pfs-compliance\/user-interface\/additional-requirements-capital\/2.EFP-Capital-Demo-Offers.svg?decoding=auto&amp;fetchpriority=auto\" \/><\/p>\n<p>In this example, the interface:<\/p>\n<ul>\n<li>Explicitly shows whether the user is viewing offerings for a loan or cash advance.<\/li>\n<li>Shows all the Capital offerings available to your user.<\/li>\n<li>Uses a <span translate=\"no\"><strong>Request<\/strong><\/span> button to indicate the user how to request a Capital offering.<\/li>\n<li>Specifies the validity period of the offerings.<\/li>\n<\/ul>\n<h3>Presenting KYC interface and Terms of Service<\/h3>\n<p>To comply with KYC requirements and user agreements, include the following information in your interface:<\/p>\n<ul>\n<li><strong>KYC collection fields<\/strong>: Enable your users to submit KYC information for review by Adyen.<\/li>\n<li><strong>Relevant terms<\/strong>: When showing your user the details of their Capital offering proposal, you must include all the terms that are relevant for this proposal. For example, you should include:\n<ul>\n<li>The amount of the Capital funds.<\/li>\n<li>The total repayment amount.<\/li>\n<li>The repayment percentage.<\/li>\n<li>The fee for using the product. In Canada, you must show this fee as an annual interest rate.<\/li>\n<li>Adyen's alternative ways for repaying the financing, if applicable.<\/li>\n<\/ul><\/li>\n<li><strong>Capital user terms<\/strong>: Ensure that the user terms for Capital are available for and accepted by your users. Users must only accept the terms one time. In case of updates to the user terms, your platform must communicate these updates to your users.<\/li>\n<li><strong>Acceptance of Terms of Service<\/strong>: Enable your users to view and accept the <a href=\"\/capital\/terms-of-service\">Terms of Service<\/a> and conditions related to the Capital product. If you are not able to generate the required Terms of Service for your user, reach out to your Adyen contact. You can get your user's Capital funds information from Adyen's API by:<\/p>\n<ul>\n<li>Making a GET  <a href=\"https:\/\/docs.adyen.com\/api-explorer\/transfers\/latest\/get\/grants\/(id)\" class=\"codeLabel  external-link no-image\" target=\"_blank\" rel=\"nofollow noopener noreferrer\">\/grants\/{id}<\/a> request.<\/li>\n<li>Subscribing to our <a href=\"\/development-resources\/webhooks\">webhooks<\/a>.<\/li>\n<\/ul>\n<h3>Protecting your Capital information<\/h3>\n<p>Your Capital user interface must be protected against unauthorized access and security breaches. You must implement reasonable security measures according to industry practices. For example, your application must:<\/p>\n<ul>\n<li>Use unique and personal security credentials for login.<\/li>\n<li>Safely transmit personal security credentials.<\/li>\n<li>Validate the users' credentials when they request access.<\/li>\n<\/ul>\n<h2>Customer disclosure and consent procedure<\/h2>\n<p>This document outlines the Customer Disclosures and Consent Procedure of Adyen. It describes when and under what conditions Adyen makes disclosures and gains consent from its customers. This document is reviewed on an annual basis.<\/p>\n<p>This procedure encompasses disclosures and consents which Adyen presents to its customers;<\/p>\n<ol>\n<li>As part of Adyen's customer due diligence (CDD) process. This refers to the due diligence which Adyen performs on all customers as a result of Know Your Customer (KYC) obligations during onboarding or periodic review.<\/li>\n<li>As a result of regulatory obligations in the US which mandate that c certain disclosures and\/or consent, reflected in the relevant agreement(s), must be detailed within a procedure.<\/li>\n<\/ol>\n<p>This document does not encompass other legal disclosures and consents that Adyen may require as part of the agreements.<\/p>\n<h3>Legal Background<\/h3>\n<p>Adyen enters a contractual agreement with every user directly, or indirectly (through a platform). This agreement outlines the terms of use for Adyen\u2019s products and services.<\/p>\n<p>In addition to the terms of use, there is additional information that must be disclosed and\/or requires consent to\/from customers, due to local and\/or global regulatory obligations, outside of these agreements.<\/p>\n<p>This procedure differentiates between Disclosures and Consents.<\/p>\n<ul>\n<li>Disclosure: refers to mandatory information that must be disclosed to the customer, meaning that they must be made explicitly aware of that information prior - or during - the customer due diligence process;<\/li>\n<li>Consent: refers to provisions that the customer must explicitly consent to or certify. Consent must be freely given, informed and specific.<\/li>\n<\/ul>\n<h3>Applicability<\/h3>\n<p>This procedure applies to all entities with whom Adyen enters into a business relationship with or on whose behalf Adyen performs a transaction, or provides embedded finance solutions (hereinafter: \u2018customer\u2019).<\/p>\n<p>Consent can only be given to Adyen by natural persons type: Authorized Signatory. The identification and verification requirements of authorized signatories is described in Adyen\u2019s Natural Person Screening Procedure.<\/p>\n<p>The disclosures and consents presented to customers are based on the service line being utilized.
